Use of the Site
The Come2U.com website hosts numerous third-party businesses that participate in Come2U programs for the benefit of users like you. Come2U invites you to share your reviews and testimonials, but in doing so you agree not to distribute spam messages, post commercial advertisements, or spread links to malicious or dangerous websites. Come2U retains the right to moderate any comment or written content submitted to the Come2U.com website and to remove any content we deem to have violated our policies.
Come2U Rewards
All Come2UPartners agree, as a condition of receiving Come2U Rewards, to accept reasonable email communications and other types of notifications from any authorized Come2U BPS they have received Come2U Rewards from. Typically, these communications will be sent no more often than once per week, or when a special event occurs.
All Come2U Partners receiving communications from any authorized Come2U BPS always have the right to notify Come2U of any unwanted communications of any type. In Come2U sole discretion, further unwanted communications from the authorized Come2U BPS to the Come2U Partner may result in action from Come2U up to suspension of the BPS account.
Disclaimer
All of the content contained on the Come2U.com is automatically edited, checked, and verified for accuracy as much as it is possible to do so. Come2U Partner Program Terms and Conditions
Thanks for joining the Come2U Partner program. Our Partners are very important to us. This agreement is designed with you in mind, as well as protecting you, Come2U and our customers. Please read thoroughly. If you have any questions, please contact us at info@Come2U.com.
Partner Agreement
This agreement describes the terms and conditions for participation in the Come2U Partner program. In this agreement, the term “Partner” refers to you (the applicant). In this agreement, “Come2U” refers to Come2U.com, with whom you are entering this agreement. By applying to the Come2U Partner program you are confirming that you have read the agreement and agree to the terms and conditions.
Partner Programs
There are several types of Partner programs with Come2U: Premium and Standard. Standard Partners receive the base level of rewards, while Premium Partners receive higher rewards percentages on purchases.
Any Come2U Partner may opt to receive cash commissions and cash back on purchases of Come2U and Come2U BPS products and services. Please see the Commissions and Cash Back programs section below.
Earning TBC Rewards, Commissions, and Cash Back
Come2U Partners are automatically awarded Twistabit rewards (TBC) when meeting the conditions defined in this section. Come2U Partners may receive commissions and/or cash back if they comply with Usage and Obligations, have entered their Payment Email (to receive payments) in their Dashboard, and only if Come2U or the Come2U BPS whose product or service has been purchased, is offering commissions or cash back on purchases (either one or more specific products or an entire order) at the time of purchase, and the Come2U Partner enters the Order ID and other data proving the purchase into their Dashboard, and Come2U or the Come2U BPS approves.
No valid Order that has not been refunded shall be denied approval by Come2U or the Come2U BPS whose product or service has been purchased. Rewards, commissions, and cash back will be approved in a timely manner, and commissions and cash back payouts will be delivered according to Come2U commission payout policy.
Come2U Partners earn rewards, commissions, or cash back when:
- The Come2U Partner navigates to a page or post of a BPS Website (standard rewards only for standard and premium partners), or makes a qualifying purchase from any Come2U BPS who then makes a qualifying payment (rewards, commissions, cash back)
- A Come2U Partner referred by the Come2U Partner navigates to a page or post of a BPS Website (standard rewards only for standard and premium partners), or makes a qualifying purchase from a Come2U BPS (rewards, commissions, cash back)
- Any Come2U Partner navigates to a page or post of a BPS Website (standard rewards only for standard and premium partners), or makes a qualifying purchase from a Come2U BPS referred by the Come2U Partner (rewards, commissions, cash back)
For a sale to generate a reward to a Come2U Partner, the referred person or business must navigate to the BPS designated pages or post on that Website, or complete the order form and remit full payment for the subscription and signup (rewards, commissions, cash back). Partners signing up for the $0 Partner plan (if one is available) ARE considered qualifying referrals and their qualifying purchases from Come2U BPS do result in rewards for the referring Come2U Partner.
Rewards, Commissions, and Cash Back will only be awarded on sales that are made when the customer clicks through qualified, correctly structured Come2U Partner links. Properly coded links are the sole responsibility of the Partner. Rewards awarded can be viewed on the Partner Dashboard or Scoreboard pages.
If the Come2U or Come2U BPS product or service is on a recurring payment schedule, the Come2U Partner will continue to accumulate rewards, commissions, and cash back for each paid transaction by the customer for as long as the customer remains a paying customer and offers rewards, commissions, and cash back. For Come2U Partners participating in the recurring program, rewards will also accumulate for plan upgrades and adding users.
Standard and Premium Rewards
Come2U Partners program participants at the standard level receive up to 30% of the BPS designated Rewards on qualifying payments from Come2U BPS participants.
Come2U Partners program participants at the Silver level receive up to 10% extra Rewards on qualifying payments from Come2U BPS participants.
Come2U Partners program participants at the Gold level receive 18% extra Rewards on qualifying payments from Come2U BPS participants.
Come2U Partners program participants at the Platinum level receive 30% extra Rewards on qualifying payments from Come2U BPS participants.
TBC Rewards Status
All Come2U rewards are initially awarded as Come2U Rewards Points that later convert to Twistabit Coins (TBC), and are provided to Come2U Partners in the following manner:
- Bonus/Signup Twistabit Coins are either unconfirmed or confirmed, and cannot be used until they are confirmed. Confirmed means the Partner has confirmed their account by completing the setup process. Come2U Rewards Points are converted to Earned Twistabit Points based on a percentage of qualifying payments from Come2U BPS.
- Earned Twistabit Coins are assigned based on Come2U Rewards earned, and are eligible to be spent at any Come2U BPS.
- Covered Twistabit Coins are Earned Twistabit Coins that have remained in Earned status for 3 days, and automatically become Covered once the 3 day waiting period has elapsed. They can be spent at any Come2U BPS.
- Any Twistabit Coins for which the qualifying payments have been disputed are immediately converted back to Earned status, and if the qualifying payment is refunded for whatever reason, the assigned Twistabit Coins are immediately unassigned.
NOTE: Twistabit reserves the right to change the Twistabit Coin Assignment formula or Rewards earnings formula at any time in our sole discretion.
Refunds
In the event a customer requests a refund for a transaction for which theCome2U Partner has earned Rewards, any Rewards earned on the refund amount will be deducted from theCome2U Partner’s balance.
Usage and Obligations
Come2U Partners are permitted to use the Come2U brand and marketing resources available in the Partners section of the Come2U application. Logos and other assets cannot be modified. The Come2U Partner does not gain any trademark, copyright or any other rights to these materials.
The Come2U Partner will never imply that they are acting on behalf of Come2U and will never advertise Come2U products directly. The Partner will never bid for advertisements that compete with Come2U.
The Come2U Partner will never represent themselves, Come2U or their relationship with Come2U, in a false or misleading way.
The Come2U Partner will not engage in the distribution of an unsolicited bulk email (spam) mentioning or referencing Come2U.
The Come2U Partner MUST always ensure that their affiliation with Come2U is properly disclosed and that the disclosure is placed near any link that includes the Partner’s own partner code. Disclosures MUST be easy to find and easy to read.
The Come2U Partner agrees, affirms, and explicitly acknowledges that assignment of Come2U Smart Rewards does NOT:
- Provide Partner with rights of any form with respect to Come2U or its revenues or assets, including, but not limited to, any voting, distribution, redemption, liquidation, proprietary (including all forms of intellectual property), or any other financial or legal rights, other than the right to receive rewards as outlined in the Rewards and Refunds sections, and this section of this document.
- Constitute a loan toCome2U.
- Provide Partner with any ownership or other interest in Come2U.
Term and Termination
Either party has the right to terminate the agreement immediately without prior notice.
If the Come2U Partner terminates the agreement, no further rewards from Come2U will be earned for any past or future customer transactions.
If Come2U chooses to terminate the agreement, any currently earned rewards will be assigned to the partner within 60 days of termination.
If the Come2U Partner is on a recurring program, Come2U will not be obligated to assign any future rewards after termination.
Governing Law
This Agreement shall be governed, construed, and enforced in accordance with the laws of the State of California, without regard to its conflict of laws rules.
Arbitration
All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in the State of California. An award of arbitration may be confirmed in a court of competent jurisdiction.
Modification
We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available rewards, reward schedules, assignment procedures and Partner Program rules. This clause also includes changes made by Come2U BPS.
Come2U Business Plan Subscribers (BPS)
Thanks for subscribing to a Come2U Business Plan. The individual whose email address and contact information is used for a Come2U Business Plan subscription automatically becomes a Come2U Partner. That individual receives standard Come2U Partner commissions, or if they opt to become a Premium Partner, they receive Come2U Partner commissions based on the Premium Partner plan they choose.
Participating Come2U Business Plan subscribers have the following obligations:
- Designate one or more products or services offered by their business as able to be discounted, or fully redeemed for Earned Twistabit Points.
- Assign Come2U Rewards Points at no less than the minimum percentage per sale or the minimum Points amount for navigation conversions.
- Pay their Come2U Rewards Assignment fees each month.
- Optional Commissions and Cash Back. The Come2U BPS may, at their discretion, offer commissions and/or cash back to Come2U and Come2U Partners.
- If Commissions and/or Cash Back are offered, any purchases made and properly entered (including order number and other information proving the purchase) by the Come2U Partner for review by the Come2U BPS, must be reviewed and approved (or disputed) in a timely manner by the Come2U BPS. Once the Come2U BPS approves rewards, commissions, and/or cash back, the Come2U BPS is obligated to award the rewards and pay the commissions or cash back in a timely manner.
Privacy
How We Collect and Use Information
We collect the following types of information about you:
Information you provide us directly:
We ask for certain information such as your username, real name, birthdate, address, phone number and e-mail address when you register for a Come2U account, or if you correspond with us. We may also retain any messages you send through the Service, and may collect information you provide in User Content you post to the Service. We use this information to operate, maintain, and provide to you the features and functionality of the Service. Your username and if you choose to disclose it, your real name, will be published publicly. Once published your username and / or real name may not be able to be removed.
Information we may receive from third parties:
We may receive information about you from third parties. For example, if you access our websites or Service through a third-party connection or log-in, for example, through Facebook Connect, by “following,” “liking,” adding the Come2U application, linking your account to the Come2U Service, etc., that third party may pass certain information about your use of its service to Come2U. This information could include, but is not limited to, the user ID associated with your account (for example, your Facebook UID), an access token necessary to access that service, any information that you have permitted the third party to share with us, and any information you have made public in connection with that service. If you allow us access to your friends list, your friends’ user IDs, and your connection to those friends, may be used and stored to make your experience more social, and to allow you to invite your friends to use our Service as well as provide you with updates if and when your friends join Come2U. You should always review, and if necessary, adjust your privacy settings on third-party websites and services before linking or connecting them to the Come2U Service. You may also unlink your third party account from the Service by adjusting your settings on the third party service.
Inviting a friend to use Come2U:
Come2U may, in its sole discretion, develop a feature that allows you to invite third parties to the Service. If you choose to use our invitation service to invite a third party to the Service through our “Invite friends” feature, you may directly choose a friend to invite through your mobile device’s native contact list – but we do not require that you import your contacts list to the Service, and we do not retain the information contained in your contacts list. You understand that by inviting a friend to Come2U through the “Invite friends” feature, you are directly sending a text or email from your personal accounts and that we are not storing your contact list. In addition, you understand and agree that normal carrier charges apply to communications sent from you phone. Since this invitation is coming directly from your email or phone, we do not have access to or control this communication.
Finding your friends on the Service:
Come2U may, in its sole discretion, develop a feature that allows you to locate your friends with Come2U accounts through a “Find friends” feature. The “Find friends” feature allows you to choose to locate friends either through (i) your contact list, (ii) social media sites (such as Twitter or Facebook) or (iii) through a search of names and usernames on Come2U. If you choose to find your friends through your contact list, then you agree to provide Come2U access to your contact list such that we can perform the search necessary to determine whether or not someone associated with the information you provide is using Come2U. If you choose to find your friends through social media sites, then you understand that the information these sites provide to use to conduct this type of search is governed by their privacy policies and your account settings on those sites. If you choose to find your friends through a search of names or usernames, then simply type a name to search and see if that name or username appears on our Service. Note that we do not retain any information contained in your contacts list, or information from social media sites about your contacts, and we do not use such information for any purpose other than to help you find your friends on Come2U.
Analytics information:
We may directly collect analytics data, or use third-party analytics tools and services, to help us measure traffic and usage trends for the Service. These tools collect information sent by your browser or mobile device, including the pages you visit and other information that assists us in improving the Service. We collect and use this analytics information in aggregate form such that it cannot reasonably be manipulated to identify any particular individual user.
Cookies information:
Full details can be found on our Cookie Policy. When you visit the Service, we may send one or more cookies — a small text file containing a string of alphanumeric characters — to your computer that uniquely identifies your browser and lets Come2U help you log in faster and enhance your navigation through the site. A cookie may also convey information to us about how you use the Service (e.g., the pages you view, the links you click and other actions you take on the Service), and allow us or our business partners to track your usage of the Service over time. A persistent cookie remains on your hard drive after you close your browser. Persistent cookies may be used by your browser on subsequent visits to the site. Persistent cookies can be removed by following your web browser’s directions. A session cookie is temporary and disappears after you close your browser. You can reset your web browser to refuse all cookies or to indicate when a cookie is being sent. However, some features of the Service may not function properly if the ability to accept cookies is disabled.
Log file information:
Log file information is automatically reported by your browser or mobile device each time you access the Service. When you use our Service, our servers automatically record certain log file information. These server logs may include anonymous information such as your web request, Internet Protocol (“IP”) address, browser type, referring / exit pages and URLs, number of clicks and how you interact with links on the Service, domain names, landing pages, pages viewed, and other such information.
Clear gifs/web beacons information:
When you use the Service, we may employ clear gifs (also known as web beacons) which are used to anonymously track the online usage patterns of our Users. In addition, we may also use clear gifs in HTML-based emails sent to our users to track which emails are opened and which links are clicked by recipients. The information is allows for more accurate reporting and improvement of the Service.
Device identifiers:
When you access the Service by or through a mobile device (including but not limited to smart-phones or tablets), we may access, collect, monitor and/or remotely store one or more “device identifiers,” such as a universally unique identifier (“UUID”). Device identifiers are small data files or similar data structures stored on or associated with your mobile device, which uniquely identify your mobile device. A device identifier may be data stored in connection with the device hardware, data stored in connection with the device’s operating system or other software, or data sent to the device by Come2U. A device identifier may convey information to us about how you browse and use the Service. A device identifier may remain persistently on your device, to help you log in faster and enhance your navigation through the Service. Some features of the Service may not function properly if use or availability of device identifiers is impaired or disabled.
Location data:
When you access the Service by or through a mobile device, we may access, collect, monitor and/or remotely store “location data,” which may include GPS coordinates (e.g. latitude and/or longitude) or similar information regarding the location of your mobile device. Location data may convey to us information about how you browse and use the Service. Some features of the Service, particularly location-based services, may not function properly if use or availability of location data is impaired or disabled.
Commercial and marketing communications:
We use the information we collect or receive, such as your email address, to communicate directly with you. We may send you emails containing newsletters, promotions, and special offers. If you do not want to receive such email messages, you will be given the option to opt out or change your preferences. We also use your information to send you Service-related emails (e.g., account verification, purchase and billing confirmations and reminders, changes/updates to features of the Service, technical and security notices). You may not opt out of Service-related emails. You may also be able to be “found” on Come2U based on information that you provide (see “Find friends on Come2U”) above.
Use of certain service type information we collect about you:
We use or may use cookies, log file, device identifiers, location data and clear gifs information to: (a) remember information so that you will not have to re-enter it during your visit or the next time you visit the site; (b) provide custom, personalized content and information; (c) to provide and monitor the effectiveness of our Service; (d) monitor aggregate metrics such as total number of visitors, traffic, and demographic patterns; (e) diagnose or fix technology problems; (f) help you efficiently access your information after you sign in; (g) to provide advertising to your browser or device, and (h) automatically update the Come2U application on your mobile devices.
Sharing of Your Information
We will not rent or sell your information into third parties outside Come2U and its group companies (including any parent, subsidiaries and partners) without your consent, except as noted below:
Who we may share your information with: We may share your information with third-party business partners and Trusted Users for the purpose of providing the Service to you. Third party business partners will be given limited access to your information as is reasonably necessary to deliver the Service, and we will require that such third parties comply with this Privacy Policy, or operate under a similar privacy policy.
Who can see User Content: Any User Content that you voluntarily disclose for posting to the Service becomes available to the public and cannot be removed, except by Come2U in its sole discretion. Once posted on Come2U, User Content may not be removable from public view, as copies may remain viewable in cached and archived pages of the Service, on other sites that have republished us, or if other Users have copied or saved that information. If you do not wish your User Content to be available to the public, please don’t post it on Come2U. Your username and if you choose to disclose it, your real name, will be published publicly. Once published your username and / or real name may not be able to be removed.
Who can see your IP address: If you post User Content on the Service while not logged in, your IP address will be published with your User Content in order to attribute your contribution to the Service. A selection of Trusted Users with administrative powers on Come2U have the ability to review IP addresses of users to reduce abusive behavior. Any third party service embedded on Come2U such as an advertiser, video provider, social network or other third party will also have access to your IP address.
Who can see your email address: If you enter an email address, you will enable communication from Come2U and other Users. If you reply to users or participate in group Come2U activities such as meetups, your email address will be shared with these users. In addition, some email addresses such as info@Come2U.com forward to a group of Trusted Users, who will use your email address to reply to the email.
What happens in the event of a change of control:
We may buy or sell/divest/transfer the company (including any shares in the company), or any combination of its products, services, assets and/or businesses. Your information such as customer names and email addresses, User Content and other user information related to the Service may be among the items sold or otherwise transferred in these types of transactions. We may also sell, assign or otherwise transfer such information in the course of corporate divestitures, mergers, acquisitions, bankruptcies, dissolutions, reorganizations, liquidations, similar transactions or proceedings involving all or a portion of the company.
Instances where we are required to share your information:
Come2U will disclose your information where required to do so by law or subpoena or if we reasonably believe that such action is necessary to (a) comply with the law and the reasonable requests of law enforcement; (b) to enforce our Terms of Use or to protect the security, quality or integrity of our Service; and/or (c) to exercise or protect the rights, property, or personal safety of Come2U, our Users, or others.
Sharing certain service type information we collect about you:
We may share certain service type information, including information obtained through tools such as cookies, log files, device identifiers, location data and clear gifs (such as anonymous usage data, referring/exit pages and URLs, platform types, number of clicks, etc.): (i) with our third-party business partners for the purposes described in the section above on “How We Collect and Use Information.” We may also aggregate or otherwise strip data of all personally identifying characteristics and may share that aggregated, anonymized data with third parties.
Ads on Come2U:
We may also share certain information such as your location, browser, and cookie data and other data relating to your use of our Service with our business partners to deliver advertisements (“ads”) that may be of interest to you. Come2U may allow third-party ad servers or ad networks to serve advertisements on the Service. These third-party ad servers or ad networks use technology to send, directly to your browser or mobile device, the ads and ad links that appear on the Service, and will automatically receive your IP address when they do so. They may also use other technologies (such as cookies, JavaScript, device identifiers, location data, and clear gifs, see above) to compile information about your browser’s or device’s visits and usage patterns on the Service and on other websites, and to measure the effectiveness of their ads and to personalize the advertising content delivered to you.
Please note that an advertiser may ask Come2U to show an ad to a certain audience of Users (e.g., based on demographics or other interests). In that situation, Come2U or our Partners determines the target audience and Come2U serves the advertising to that audience and only provides anonymous data to the advertiser. If you respond to such an ad, the advertiser or ad server may conclude that you fit the description of the audience they are trying to reach.
To enhance your user experience or help us improve and measure our effectiveness, Come2U may embed code from third parties on the Service. These third parties may collect information about you including IP address, cookies in ways Come2U does not control.
The Come2U Privacy Policy does not apply to, and we cannot control, the activities of third-parties. Please consult the respective privacy policies of such third parties or contact such third parties for more information.
How We Store and Protect Your Information
Storage and Processing:
Your information collected through the Service may be stored and processed in the United States or any other country in which Come2U or its subsidiaries, partners, or service providers maintain facilities. Come2U may transfer information that we collect about you, including personal information, to partnered entities, or to other third parties across borders and from your country or jurisdiction to other countries or jurisdictions around the world. If you are located in the European Union or other regions with laws governing data collection and use that may differ from U.S. law, please note that we may transfer information, including personal information, to a country and jurisdiction that does not have the same data protection laws as your jurisdiction, and you consent to the transfer of information to the U.S. or any other country in which Come2U or its parent, subsidiaries, partners, or service providers maintain facilities and the use and disclosure of information about you as described in this Privacy Policy.
Keeping your information safe:
Come2U cares about the security of your information, and uses commercially reasonable safeguards to preserve the integrity and security of all information collected through the Service. To protect your privacy and security, we take reasonable steps (such as requesting a unique password) to verify your identity before granting you access to your account. You are responsible for maintaining the secrecy of your unique password and account information, and for controlling access to your email communications from Come2U, at all times. However, Come2U cannot ensure or warrant the security of any information you transmit to Come2U or guarantee that information on the Service may not be accessed, disclosed, altered, or destroyed. Your privacy settings may also be affected by changes to the functionality of third party sites and services that you add to the Come2U Service, such as social networks. Come2U is not responsible for the functionality or security measures of any third party.
Compromise of information:
In the event that any information under our control is compromised as a result of a breach of security, Come2U will take reasonable steps to investigate the situation and where appropriate, notify those individuals whose information may have been compromised and take other steps, in accordance with any applicable laws and regulations.
Your Choices about Your Information
You control your account information and settings: You may update your account information and email-communication preferences at any time by logging in to your account and changing your profile settings. You can also stop receiving promotional email communications from us by modifying your preferences at https://Come2U.com/my-account.
We make every effort to promptly process all unsubscribe requests. As noted above, you may not opt out of Service-related communications (e.g., account verification, purchase and billing confirmations and reminders, changes/updates to features of the Service, technical and security notices). Opting out of collection of your information for Tracking / Advertising:
Please refer to your mobile device or browser’s technical information for instructions on how to delete and disable cookies, and other tracking/recording tools. Depending on your type of device, it may not be possible to delete or disable tracking mechanisms on your mobile device. Note that disabling cookies and/or other tracking tools prevents Come2U or its business partners from tracking your browser’s activities in relation to the Service, and for use in targeted advertising activities by third parties. However, doing so may disable many of the features available through the Service. If you have any questions about opting out of the collection of cookies and other tracking/recording tools, you can contact us directly at info@Come2U.com.
How long we keep your private profile information:
Following termination of your User account, Come2U may retain your private profile information for a commercially reasonable time for backup, archival, or audit purposes. For the avoidance of doubt, any information that you choose to make public on the service may not be removable.
Children’s Privacy
Come2U does not knowingly collect or solicit any information from anyone under the age of 13 or knowingly allow such persons to register as Users. The Service and its content are not directed at children under the age of 13. In the event that we learn that we have collected personal information from a child under age 13 without verification of parental consent, we will delete that information as quickly as possible. If you believe that we might have any information from or about a child under 13, please contact us at info@Come2U.com.
Links to Other Websites and Services
We are not responsible for the practices employed by websites or services linked to or from the Service, including the information or content contained therein. Please remember that when you use a link to go from the Service to another website, our Privacy Policy does not apply to third-party websites or services. Your browsing and interaction on any third-party website or service, including those that have a link or advertisement on our website, are subject to that third party’s own rules and policies. Come2U Traffic Delivery Terms
These Come2U Traffic Delivery Terms (“Terms”) are entered into by Come2U (“Come2U”) and the entity executing these Terms or that accepts these Terms electronically (“Customer”). These Terms govern Customer’s participation in Come2U advertising programs and services (i) that are accessible through the account(s) given to Customer in connection with these Terms or (ii) that incorporate by reference these Terms (collectively, “Programs”). Please read these Terms carefully.
Programs
Customer authorizes Come2U and its partners to place Customer’s advertising materials, feed data, and technology (collectively, “Ads” or “Creative”) on any content or property (each a “Property”) provided by Come2U or its partners on behalf of Come2U or, as applicable, a third party (“Partner”). Customer is solely responsible for all: (i) Ads, (ii) destinations to which Ads direct viewers (e.g., landing pages, mobile applications) along with the related URLs, waypoints, and redirects (“Destinations”), and (iiii) services and products advertised on Destinations (collectively, “Services”). The Program is an advertising platform on which Customer authorizes Come2U and its partners to use automated tools to format Ads. Come2U and its partners may also make available to Customer certain optional Program features to assist Customer with the selection or generation of Targets, Ads, or Destinations. Customer is not required to authorize use of these optional features and, as applicable, may opt-in to or opt-out of usage of these features. However, if Customer uses these features, then Customer will be solely responsible for the Targets, Ads, and Destinations. Come2U and its partners or Partners may reject or remove a specific Target, Ad, or Destination at any time for any or no reason. Come2U and its partners may modify or cancel Programs at any time. Some Program features are identified as “Beta” or as otherwise unsupported or confidential (“Beta Features”). Customer may not disclose any information from Beta Features or the terms or existence of any non-public Beta Features.
Policies
Customer is solely responsible for its use of the Programs (e.g., access to and use of Program accounts and safeguarding usernames and passwords) (“Use”). Program Use is subject to applicable Come2U policies available at Come2U.com/legal, and all other policies made available by Come2U to Customer. In connection with the Program, Come2U will comply with the Come2U Privacy Policy available at Come2U.com/legal (as modified from time to time). Customer will not, and will not authorize any third party to, (i) generate automated, fraudulent or otherwise invalid impressions, inquiries, clicks or conversions, (ii) conceal conversions for Programs where they are required to be disclosed, (iii) use any automated means or form of scraping or data extraction to access, query or otherwise collect Come2U advertising-related information from any Property except as expressly permitted by Come2U, or (iv) attempt to interfere with the functioning of the Programs. Customer will direct communications regarding Ads on Partner Properties under these Terms only to Come2U.
Testing
Customer authorizes Come2U and its partners to periodically conduct tests that may affect Customer’s Use of Programs, including Ad formatting, Targets, Destinations, quality, ranking, performance, and pricing. To ensure the timeliness and validity of test results, Customer authorizes Come2U to conduct such tests without notice or compensation to Customer.
Warranty, Rights, and Obligations
Customer warrants that (a) Customer holds, and hereby grants Come2U, its partners and Partners, the rights in Ads, Destinations, and Targets for Come2U, its partners and Partners to operate the Come2U Programs (including, in the case of feed data, after Customer ceases to use the Programs), and (b) all information and authorizations provided by Customer are complete, correct and current. Customer authorizes Come2U and its partners to automate retrieval and analysis of, and create test credentials to access, Destinations for the purposes of the Programs. By providing any mobile or other telephone number to Come2U in connection with the Programs, Customer authorizes Come2U, its partners and their agents to call and send text messages (for which standard message and data rates may apply) to the provided telephone numbers, including by an automatic telephone dialing system, for purposes of the Programs. However, Come2U will not rely on this permission to initiate autodialed calls or text messages for marketing purposes. Customer further authorizes Come2U, its partners and their agents to send electronic mail to Customer for purposes of the Programs. Customer warrants that it is authorized to act on behalf of, and has bound to these Terms, each third party, if any, for which Customer advertises in connection with these Terms (“Advertiser”) and any references to Customer in these Terms will also apply to Advertiser, as applicable. If for any reason Customer has not bound an Advertiser to these Terms, Customer will be liable for performing any obligation Advertiser would have had under these Terms had Advertiser been bound. If Customer is using a Program on its own behalf to advertise, for that use Customer will be deemed to be both Customer and Advertiser. Customer will provide Advertiser with reporting data no less than on a monthly basis, that discloses absolute dollars spent on Come2U and performance (at a minimum cost, clicks and impressions of users on the account of that Advertiser) in a reasonably prominent location. Come2U may, upon request of an Advertiser, share Advertiser-specific information with Advertiser.
Payment
Customer will pay all charges incurred in connection with a Program, using a payment method approved by Come2U for that Customer (as modified from time to time), within a commercially reasonable time period specified by Come2U (e.g., in the Program user interface or IO). Late payments bear interest at the rate of 1.5% per month (or the highest rate permitted by law, if less). Charges are exclusive of taxes. Customer will pay (i) all taxes and other government charges and (ii) reasonable expenses and legal fees Come2U incurs in collecting late payments that are not disputed in good faith. Charges are based on the billing criteria under the applicable Program (e.g., based on clicks, impressions, or conversions). Any portion of a charge not disputed in good faith must be paid in full. No party may offset any payment due under these Terms against any other payment to be made under these Terms. Come2U may, in its sole discretion, extend, revise or revoke credit at any time. Come2U is not obligated to deliver any Ads in excess of any credit limit. TO THE FULLEST EXTENT PERMITTED BY LAW, CUSTOMER WAIVES ALL CLAIMS RELATING TO ANY PROGRAM CHARGES UNLESS A CLAIM IS MADE WITHIN A REASONABLE PERIOD.

TO THE FULLEST EXTENT PERMITTED BY LAW, Come2U, ON BEHALF OF ITSELF AND ITS PARTNERS AND PARTNERS, DISCLAIMS ALL WARRANTIES, WHETHER IMPLIED, STATUTORY OR OTHERWISE, INCLUDING FOR NON-INFRINGEMENT, SATISFACTORY QUALITY, MERCHANTABILITY AND FITNESS FOR ANY PURPOSE, AS WELL AS ANY WARRANTIES ARISING OUT OF ANY COURSE OF DEALING OR USAGE OF TRADE. TO THE FULLEST EXTENT PERMITTED BY LAW, THE PROGRAMS AND Come2U AND PARTNER PROPERTIES ARE PROVIDED “AS IS,” “AS AVAILABLE” AND “WITH ALL FAULTS,” AND CUSTOMER USES THEM AT ITS OWN RISK. Come2U, ITS PARTNERS, AND ITS PARTNERS DO NOT MAKE ANY GUARANTEE IN CONNECTION WITH THE PROGRAMS OR PROGRAM RESULTS. Come2U MAKES NO PROMISE TO INFORM CUSTOMER OF DEFECTS OR ERRORS.
Limitation of Liability

Indemnification
Customer will defend and indemnify Come2U, its Partners, agents, partners, and licensors against all liabilities, damages, losses, costs, fees (including legal fees), and expenses relating to any third-party allegation or legal proceeding to the extent arising out of or related to Ads, Targets, Destinations, Services, Use or any breach of these Terms by Customer. Partners are intended third-party beneficiaries of this Section.
Changes to Terms
Come2U may make changes to these Terms at any time without notice.
Miscellaneous
ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PROGRAMS WILL BE GOVERNED BY CALIFORNIA LAW, EXCLUDING CALIFORNIA’S CONFLICT OF LAWS RULES, EXCEPT TO THE EXTENT THAT CALIFORNIA LAW IS CONTRARY TO OR PREEMPTED BY FEDERAL LAW. Customer will not seek an injunction based on patent infringement in connection with the Programs in any proceeding filed while these Terms are in effect, and for one year after any termination of these Terms. These Terms are the parties’ entire agreement relating to their subject matter and supersede any prior or contemporaneous agreements on those subjects. Customer may not make any public statement regarding the relationship contemplated by these Terms (except when required by law). All notices of termination or breach must be in writing and addressed to the other party’s Legal Department (or if it is not known if the other party has a Legal Department then to the other party’s primary contact or other address on file). All other notices to Customer will be in writing and sent to an email address associated with Customer’s account. All other notices to Come2U will be in writing and addressed to Customer’s primary contact at Come2U or other method made available by Come2U. Notice will be treated as given on receipt, as confirmed by written or electronic means. These notice requirements do not apply to legal service of process, which is instead governed by applicable law. Any amendment must be agreed to by both parties and must expressly state that it is amending these Terms. Neither party will be treated as having waived any rights by not exercising (or by delaying the exercise of) any rights under these Terms. If any provision of these Terms is found unenforceable, that provision will be severed and the balance of the Terms will remain in full force and effect. Neither party may assign any of its rights or obligations under these Terms without the written consent of the other party, except to a partner but only where the assignee agrees in writing to be bound by these Terms. The assigning party remains liable for obligations under these Terms if the assignee defaults on them, and the assigning party has notified the other party of the assignment. Any other attempt to transfer or assign is void. There are no third-party beneficiaries to these Terms. These Terms do not create any agency, partnership or joint venture among the parties. Sections 5 through 9 will survive termination of these Terms. Except for payment obligations, no party or its partners are liable for failure or delay in performance to the extent caused by circumstances beyond its reasonable control.

If you are a user who signs up for the Service, you will create a personalized account which includes a unique username and a password to access the Service and to receive messages from the Company. You agree to notify us immediately if you become aware of any unauthorized use of your password or account. The Company will not be responsible for any liabilities, losses, or damages arising out of the unauthorized use of your member name, password and/or account.
USE RESTRICTIONS
Your permission to use the Site is conditioned upon the following use, posting, and conduct restrictions:

TO THE FULL EXTENT PERMITTED BY LAW, IN NO EVENT WILL COME2U AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS, LOSSES, DAMAGES, LIABILITIES, COSTS AND EXPENSES (INCLUDING REASONABLE LAWYER’S FEES) ARISING FROM, IN CONNECTION WITH OR RELATED TO THIS AGREEMENT, THE APIS OR THE CONTENT EXCEED THE PORTION OF THE FEES RECEIVED BY RARIED NFTS IN THE THREE (3) MONTHS PRIOR TO SUCH CLAIM. NOTWITHSTANDING ANYTHING TO THE CONTRARY, COME2U HAS NO WARRANTY, INDEMNIFICATION OR OTHER OBLIGATION OR LIABILITY WITH RESPECT TO THE CLIENT’S PRODUCT OR ITS COMBINATION, INTERACTION, OR USE WITH ANY NFT MINTING SERVICES OR THE APIS.
The Client acknowledges and agrees that this Clause reflects a reasonable allocation of risk and that Come2U would not have entered into this Agreement without these liability limitations. This Clause will survive notwithstanding any limited remedy’s failure of essential purpose.
Indemnification
The Client agrees that Come2U and its affiliates and their respective shareholders, directors, officers, employees, representatives, agents, contractors, customers and licensees (collectively, the “Indemnified Parties”) shall have no liability whatsoever for, and the Client shall indemnify and hold harmless the Indemnified Parties from and against, any and all claims, losses, damages, liabilities, costs and expenses (including reasonable lawyer’s fees) arising from, in connection with or related to:
- any use the Client or its end users makes of the API, the Content or the Minting Services
- the Client’s relationships or interactions with any end users or third-party distributors of the Client’s Product
- the Client’s Product
- the Client’s breach of the terms of this Agreement
- the gross negligence, willful misconduct or fraud done by the Client, its affiliates and their respective shareholders, directors, officers, employees, representatives, agents, contractors, customers and licensees.
POSTING AND CONDUCT RESTRICTIONS
When you create your own personalized account, you may be able to generate content (“User Content”) in the form of non-fungible tokens on the Ethereum Blockchain or other Ethereum-based Blockchains as you use the Service. You are solely responsible for the User Content that you post, upload, link to or otherwise make available via the Service.
You agree that Come2U is only acting as a passive conduit for your online distribution and publication of your User Content. The Company, however, reserves the right to remove any User Content from the Service at its sole discretion.
We grant you permission to use and access the Service, subject to the following express conditions surrounding User Content. You agree that failure to adhere to any of these conditions constitutes a material breach of these Terms.
By transmitting and submitting any User Content while using the Service, you agree as follows:
- You are solely responsible for your account and the activity that occurs while signed in to or while using your account
- You will not post information that is malicious, libelous, false or inaccurate
- You will not post any information that is abusive, threatening, obscene, defamatory, libelous, or racially, sexually, religiously, or otherwise objectionable and offensive
- You retain all ownership rights in your User Content but you are required to grant the following rights to the Site and to users of the Service as set forth more fully under the “License Grant” and “Intellectual Property” provisions below:

- You will not submit content that is copyrighted or subject to third party proprietary rights, including privacy, publicity, trade secret, or others, unless you are the owner of such rights or have the appropriate permission from their rightful owner to specifically submit such content
- You hereby agree that we have the right to determine whether your User Content submissions are appropriate and comply with these Terms of Service, remove any and/or all of your submissions, and terminate your account with or without prior notice.
- You understand and agree that any liability, loss or damage that occurs as a result of the use of any User Content that you make available or access through your use of the Service is solely your responsibility.

Counter-Notices.
If you believe that your User Content that has been removed from the Site is not infringing, or that you have the authorization from the copyright owner, the copyright owner’s agent, or pursuant to the law, to post and use the content in your User Content, you may send a counter-notice containing the following information to our copyright agent using the contact information set forth above:
- Your physical or electronic signature

Your Blockchain Wallet address may function as your identity on Come2u.com. For many features and capabilities of Come2u.com, you will need a Blockchain Wallet address (either hosted by Come2u.com or your own, or both) to access the Service. Your account on the service (“Account”) will be associated with your Blockchain Wallet address. In particular, your Personal NFT should contain your basic personal data (name, avatar/pic, etc.) plus your primary and secondary Blockchain Wallet Address.
Your Come2u.com Subscription Plan will be associated with your Blockchain Wallet and display the NFTs (and their publicly available data) associated with that Blockchain Wallet address. When you create an NFT record in Come2u.com, you may elect to continue using that NFT without minting to a Blockchain. If you would like to withdraw your NFT, sell your NFT, or otherwise share your NFT in whole or in part, you may be required to have a valid Blockchain Wallet Address to complete the transaction or gain or release control of the NFT (in whole or in part).
Come2u.com accepts no responsibility for, or liability to you, in connection with your use of a Blockchain Wallet address, and makes no representations or warranties regarding how Come2u.com’s functionality will operate with any specific Blockchain Wallet address. You are solely responsible for keeping your Blockchain Wallet address secure and you should never share your Blockchain Wallet address credentials or seed phrase with anyone. If you discover an issue related to your Blockchain Wallet address, please contact your Blockchain Wallet address provider.
Likewise, you are solely responsible for your Come2u.com subscription plan and any associated Blockchain Wallet address and we are not liable for any acts or omissions by you in connection with your Come2u.com subscription plan or as a result of your Come2u.com subscription plan or Blockchain Wallet address being compromised. You agree to immediately notify us if you discover or otherwise suspect any security issues related to your Come2u.com subscription plan.
You also represent and warrant that you will comply with all applicable laws (e.g., local, state, federal and other laws) when using your Come2u.com subscription plan. Without limiting the foregoing, by using your Come2u.com subscription plan, you represent and warrant that:

If you access or use the Come2u.com subscription plan outside the United States, you are solely responsible for ensuring that your access and use of the Service in such country, territory or jurisdiction does not violate any applicable laws.
Come2u.com may require you to provide additional information and documents in certain circumstances, such as at the request of any government authority, as any applicable law or regulation dictates, or to investigate a potential violation of these Terms. In such cases, Come2u.com, in its sole discretion, may disable your Come2u.com subscription plan and block your ability to access your Come2u.com subscription plan until such additional information and documents are processed by Come2u.com. If you do not provide complete and accurate information in response to such a request, Come2u.com may refuse to restore your access to the Service.
